Rental Agreement & Waiver

PLEASE NOTE: You are signing this agreement on behalf of all of your invited guests and it is your responsibility to share this information with anyone you invite to The Foxhole.

The “Lessee” is you, the client that is renting the space.

The “Lessor” is us, The Foxhole Chicago LLC & our staff that is renting the space to you, the client.

The “Facility”- Is the space being rented to the Lessee by the Lessor.

SECTION A

  1. Lessee understands that this is a short term Lease agreement for the space at 2444 W. Montrose in Chicago, IL (60618) and that the Lessee is fully responsible for anything that may happen in the Facility during the time of their booking. For safety, Lessee agrees to keep the front door locked and only open it for invited guests.

  2. Lessor agrees to provide Facility to Lessee.  Lessee may not use any of the spaces other than those formally agreed upon during the rental process. Lessee understands that during this Lease they are responsible for any property belonging to the Lessee, any invitee of Lessee, or Lessor that may become lost, stolen, or broken.  Lessee agrees to comply with all local, city, county, state and federal law when using the Facility.

  3. Lessee will not be responsible for any equipment belonging to the Lessor that may become inoperable due to normal wear and tear.  This will be reviewed by Lessor and determined in good faith.

  4. DEPOSIT & CANCELLATION– Pending the details of your booking, a $200 to $500 security deposit is due to confirm your date and times.  Your security deposit will be returned the week following your event provided that the space and provided property are left clean as they were found and free of damage or theft. The security deposit is in addition to your booking fee and may not be used towards the final payment. The total rental fee is due at least 48 hours before the start of your rental. For your convenience, payment may be made via cash, check, Zelle, Venmo, or Credit Card.  The deposit is non-refundable in the event of a cancellation. If a cancellation is requested at least 48 hours prior to the rental period, the deposit will be held as a credit towards a future booking but you will not be obligated to pay the full rental fee. If a cancellation is within 48 hours, the Lessee will be responsible for the full rental rate and will receive no refunds or credits. Your deposit will be fully refunded if we have to cancel due to any government mandate.

  5. This Agreement shall apply from this date forward, applying to every future booking at The Facility between Lessor and Lessee or until a new agreement is agreed upon.

  6. The Lessee and its affiliates, subsidiaries, parent corporation, officers, employees, partners, successors, heirs, agents, representatives, invited guests, or any entity or persons entitled to Lessee's rights and/or interests hereby release Lessor from any and all liability arising out of Lessee's use of Facility, including but not limited to a) risk of personal injury to the Lessee, any member of Lessee's entourage, volunteers, audience members, employees, agents, guests and/or to Lessor's representatives and employees or any third party, and b) theft or damage to the personal property of the Lessor, Lessee and/or any third parties while engaged in any activities related to this Agreement. 

  7. Lessee represents and warrants that prior to engaging in any activities related to this Agreement, Lessee and its affiliates, subsidiaries, parent corporation, officers, employees, partners, agents, guests, representatives, volunteers, and/or Lessee's entourage have agreed that the Lessee is solely responsible for any and all liability arising from any activities related to this Agreement, including, without limitation, personal injury or injury to personal property.  Lessee shall provide evidence of insurance to Lessor upon request.

  8. Lessee and its affiliates, guests, subsidiaries, parent corporation, officers, employees, partners, successors, heirs, agents, representatives, volunteers, members of Lessee's entourage hereby expressly agree to indemnify, defend and hold harmless Lessor and Lessor's affiliates, directors, officers, employees, independent contractors, volunteers, and agents against any all claims, demands, complaints, causes of action or damages, including attorneys' fees and court costs, arising out of the terms of this Agreement and/or use of the Facility.

  9. The provisions of this Agreement shall survive the expiration or sooner the termination of this Agreement and for all future bookings at The Facility.  Lessee is fully responsible for anyone Lessee invites, directly or indirectly, to the Facility for rehearsals, practices, classes, workshops, auditions, events or any related activity at or nearby the Facility. 

  10. Lessee will immediately call 911 if there is anyone in the Facility that has not been invited by the Lessee or Lessor. Lessee will then notify Lessor of incident. Lessee acknowledges that Lessor will not act as security for Lessee in any way.

  11. FURNITURE & FIXTURES –  Lessee agrees that using any furniture or tools (ladders, steps, chairs, extension cords, or anything else belonging to the Facility) is at their own risk.  Lessee takes full responsibility for any injuries to their entourage or anyone Lessee invites to the space during the time of booking.

SECTION B – The Space

  1. Lessee agrees to properly dispose of all food, trash, and garbage at the close of each booking.

  2. Lessor agrees to provide a clean, stocked bathroom at no additional cost to the Lessee.

  3. The Lessor permits to use the Kitchen and any utensils located in the kitchen and the Lessee agrees to uses these assets at their own risk. The Lessee is fully responsible for cleaning the kitchen at the end of the booking.

  4. Neighbors & Smoking – If Lessee and/or anyone invited to the facility by Lessee chose to smoke cigarettes, you may not do so inside the facility, please do so out back or front and properly dispose of the cigar/cigarette butts.  Please consider our neighbors and keep your voices down while outside.

  5. Past Projects Page – Lessee agrees to allow The Foxhole Chicago, LLC/Foxhole Creative to feature your project and your likeness on our website in our gallery of past projects as well as on any related social media. If you would like to be omitted from this, please just let us know by sending an email to Info@thefoxhole.com.

  6. GEAR / PROPERTY – Lessee is fully responsible for any gear or personal property they may bring to, or leave at The Facility. Lessor (The Foxhole Chicago, LLC and all of its affiliates) is not responsible for any lost or stolen property of the Lessee and its affiliates, subsidiaries, parent corporation, officers, employees, partners, agents, representatives, volunteers, guests, and/or members of Lessee's entourage.

  7. Additions To Space – Lessee is fully responsible for anything they bring in or add to the space.  Lessee will obtain Lessor’s consent before hanging or attaching anything to the walls, ceiling, rafters, brick, conduit, duct work, or any other area.  Lessee is fully responsible for all hanging or none hanging objects that Lessee adds or brings in to the facility. The use of glitter and/or confetti is prohibited unless otherwise approved by your Foxhole representative and an additional cleaning fee has been discussed.

  8. Alcohol / Drugs – Lessee and any related guests of the Lessee are fully responsible for any drugs and alcohol they may bring on to the property. Lessee fully releases and indemnifies The Foxhole Chicago LLC (DBA Foxhole Creative) from any claims arising from alcohol and drugs consumed or shared on our property. Lessee agrees to defend and pay for all potential legal expenses arising from any claims that may come from Lessee and Lessees guests regardless of the outcome of the claim.

  9. PUBLIC EVENTS - public events are strictly prohibited.  Lessee may not advertise any open to the public events at The Facility.  Lessee will be held completely responsible for holding public events at The Facility and will be fully accountable for any and all fees, fines, and/or penalties issued to The Foxhole Chicago, LLC as a result of a breach of this policy.

  10. OUR FLOORS - Any damage to our floors from the Lessee or the Lessees guests will require loss of deposit or additional fees.

  11. Property Damage - Lessee will respect the space and treat it as they would their own.  Lessee will immediately inform The Facility Operator of any damaged property belonging to The Facility.

  12. Lessee agrees that they are operating under their own insurance and have obtained any individual policy that may be required for the activities pertaining to the rental of the Facility.

SECTION C – Film, Video, Photography, and Audio Recording within The Facility

  1. FILMING/PHOTOGRAPHY/RECORDING – Any and all filming within the Facility that is intended for commercial use must be approved in writing by The Foxhole Chicago, LLC /Foxhole Creative.  Any breach in this without direct consent from the owner of the Facility may result in a fine from The Foxhole Chicago in the amount of $1,500.   Filming, Recording, and Photography intended for internal and non-commercial use only is approved.

  2. FILM PERMITS (if applicable) – Lessee is fully responsible for any and all required (if required) Film Permits from the City Of Chicago regarding this engagement.

  3. CRAFT SERVICES (if applicable) – Lessor permits Lessee to bring in outside food and beverage to be consumed on site by Crew, Talent, Staff, and Guests.  Lessee assumes all liability in what is provided and consumed by their Talent, Crew, Staff, and Guests.  Lessee will properly dispose of all trash at the end of the booking via the dumpster in the back ally marked “The Foxhole Chicago”.

  4. Lessee is FULLY responsible for any claims made against Lessor relating to copyright infringement or any other intellectual property claims relating to anything shot, filmed or recorded within Facility during the time of booking.

  5. FILM CREDIT (if applicable) – Lessee agrees to credit or include in “Special Thanks” the Facility during the credits of the motion picture as follows: Foxhole Creative.

  6. Lessor reserves right to terminate this Agreement for nonpayment of rental fee in Section A, Paragraph Four (4) and/or if Lessee fails to comply with the terms of this Agreement.  .

If any provision of this Agreement, or any part thereof, is found to be invalid or unenforceable, the same shall not affect the remaining provisions, which shall be given full effect, without regard to the invalid portions.  Moreover, if any one or more of the provisions contained in this Agreement shall be held to be excessively broad as to duration, scope, activity or subject, such provisions shall be construed by limiting and reducing them so as to be enforceable to the maximum extent with applicable law

This Agreement including any application or acknowledgement forms made a part hereof contains the entire agreement of the parties and supersedes any and all other agreements or understandings, oral or written, whether previous to the execution hereof or contemporaneous herewith.

COVID-19 WAIVER

The Lessee understands that regardless of any precautions, COVID-19 is a unique virus that is also transferrable by people who are asymptomatic and that there is always a risk of contracting COVID when engaging with people in a public or private setting. By clicking the button below, you knowingly and freely release, indemnify, and hold harmless The Foxhole Chicago LLC, and its agents, employees, shareholders, officers, and directors from all fault, coercion, negligence, liabilities, actions or inactions, arising out of exposure to COVID-19 or any other virus, bacteria or infection.
